Abstract

Znajomość wartości przedsiębiorstwa ma duże znaczenie w gospodarce rynkowej. Wyceny przedsiębiorstw dokonuje się między innymi na okoliczność: fuzji, podziału, sprzedaży, czy zmiany formy prawnej. Autor przedstawia wycenę spółki modelem zdyskontowanych przepływów pieniężnych. Prezentując jej praktyczne zastosowanie na spółce nienotowanej na giełdzie. W pracy znalazły zastosowanie metody między innymi z zakresu: teorii portfela, kosztu kapitału, dyskontowania przepływów pieniężnych. Elementy analizy finansowej prezentują kondycję finansową przedsiębiorstwa ogółem i na tle wyników branżowych. Użyte narzędzia analizy strategicznej i sektorowej dopełniają obrazu firmy, tworząc jej trójwymiarowy model. Na podstawie przyjętej projekcji finansowej oszacowano wartość przedsiębiorstwa.

Estimation of the value of a company is very important in the market economy. Such, calculation is often required before negotiating various transaction: mergers, buy and sell contracts or changing legal form of the company. Author of this work has presented the estimation of a value of the unquoted entity using discounted cash flows method. Additionally this work has been based on such concepts as portfolio theory, time value of money and cost of capital theory. Additional elements of the financial analysis are trying to present the condition of the company as a whole and in comparison to other companies in the industry. Picture of the company has been complemented by a strategic and industry related analysis. These tools together with a discounted cashflow method have allowed to complete a sort of 3D picture of the company and finally to estimate a value of the company.
