Fuzje i przejęcia przedsiębiorstw stały się popularnym sposobem na poszerzenie pozycji konkurencyjnej przedsiębiorstw w branży producentów strojów, obuwia i sprzętu sportowego. Cel pracy obejmuje przedstawienie istoty fuzji i przejęć oraz metod ich analizy i oceny, a także analizę i ocenę przesłanek, elementów procesu integracji i rezultatów nabycia Reebok Ltd. przez Adidas-Salomon Group. W części empirycznej posłużono się metodyką SWOT i Pięciu Sił M.E. Portera. Źródła danych miały charakter wtórny. W ocenie przesłanek przejęcia wykazano, iż było ono oparte na komplementarności silnych i słabych stron oraz szans i zagrożeń w otoczeniu obu przedsiębiorstw. Oceniając elementy procesu integracji przedsiębiorstw stwierdzono, że firma adidas-Salomon Group uwzględniła podstawowe obszary oraz czynniki sukcesu przejęć przedsiębiorstw, dzięki czemu proces przebiegł sprawnie. W wyniku oceny rezultatów nabycia sformułowano wniosek, że pozwoliło ono na redukcję słabych stron i wzmocnienie atutów oraz na ograniczenie zagrożeń i zwiększenie szans w otoczeniu adidas Group jako zintegrowanego przedsiębiorstwa. Jednakże, mimo poszerzenia udziałów rynkowych w branży odzieży i obuwia sportowego w Stanach Zjednoczonych i w Europie, adidas Group nie osiągnęła swojego głównego celu, jakim było zdobycie pozycji lidera światowego.
Mergers and acquisitions became a very popular way for companies to increase their competitive position on athletic footwear and apparel market. The aim of the thesis includes the presentation of the essence of mergers and acquisitions and methods of their analysis and evaluation as well as the analysis and evaluation of motives, elements of the integration process and results of the acquisition of Reebok Ltd. by adidas-Salomon Group. In the empirical research the SWOT method and Five Forces Framework by M.E. Porter were adopted. The evaluation of the motives of acquisition proved the complementary strengths and weaknesses as well as opportunities and threats of adidas relative to Reebok. Based on the evaluation of the integration process it was concluded that adidas covered major areas and applied key success factors of company acquisitions which ensured an efficient implementation of this process. Data sources were of secondary nature. The evaluation of the results of the undertaking supports the statement that the acquisition enabled decreasing weaknesses and increasing strengths as well as decreasing threats and increasing opportunities faced by adidas Group as an integrated company. However, despite the expansion of market shares in athletic apparel and footwear sector, adidas Group still could not achieve its main goal, which is becoming a leader of worldwide market.
